Affiliate Program Terms

1. Agreement

These terms govern participation in the AdRiseLab affiliate program (the "Program"). By applying to or participating in the Program you agree to be bound by them, together with the AdRiseLab Terms of Service and Privacy Policy. "You" or "Partner" means the individual or company accepted into the Program.

2. Application and acceptance

The Program is private. Applications are reviewed manually and may be accepted or declined at our sole discretion, with or without reason. You must be at least 18 years old and provide accurate information about yourself and your promotional channels. We may suspend or remove a Partner at any time if the information given turns out to be inaccurate.

3. Commission

You earn 30% of each subscription payment made by a customer you referred, on every payment received during the first twelve months from that customer's first payment, renewals included. Commission is calculated on the amount actually received by AdRiseLab, excluding VAT and other taxes, transaction fees, and any discount applied. Commission is not paid on free plans, trials, credits granted without payment, or on payments made after the twelve-month window ends.

4. Attribution

Referrals are tracked by our affiliate platform, Tolt, using a first-party cookie set when a visitor arrives through your link. The attribution window is 90 days from the click, and the most recent affiliate link wins. Tolt's records are the system of record for clicks, referred customers, and commissions. We cannot credit a referral that was not tracked — including cases where the visitor blocked cookies, declined marketing consent, cleared their browser, or reached the site without your link.

5. Approval and payment

Commissions are held for 30 days after the customer's payment to cover refunds and chargebacks, then approved. Approved commissions are paid monthly on NET-15 terms once your approved balance reaches $50; below that, the balance rolls over. Payouts are made in USD via PayPal to the address on your partner profile, and you are responsible for supplying correct payout details. You act as an independent contractor and are solely responsible for your own taxes, levies, and reporting obligations.

6. Refunds, chargebacks, and reversals

If a referred payment is refunded, disputed, charged back, or reversed, the related commission is cancelled. If it had already been paid to you, we may deduct the amount from your future commissions or request repayment.

7. Prohibited promotion

The following will void the commissions involved and may end your participation immediately:

• Bidding on "AdRiseLab", misspellings or variations of it, or our product names in paid search or paid social, or directing such ads to our domain.
• Registering domains, subdomains, social handles, or app listings that contain our brand name or are likely to be confused with it.
• Self-referrals: earning commission on your own subscription, or on accounts belonging to entities you own or control.
• Coupon, deal, cashback, or loyalty sites without our prior written approval.
• Unsolicited email, SMS, forum, comment, or direct-message spam, and any promotion that breaches the rules of the platform it runs on.
• Cookie stuffing, forced clicks, iframes, redirects, adware, browser extensions, or any technique that sets a referral without genuine intent.
• Creating fake accounts, incentivising signups with cash or rewards, or generating referrals through bots or automation.
• Misrepresenting what AdRiseLab does, promising specific ROAS or revenue outcomes, inventing testimonials, or implying employment or partnership beyond this Program.
• Promotion alongside illegal, adult, hateful, or otherwise harmful content.

8. Brand usage and disclosure

You may use the AdRiseLab name, logo, screenshots, and marketing copy to promote the product as it is, without altering them or implying that you are AdRiseLab. You must clearly disclose the affiliate relationship wherever you promote us, as required by the FTC endorsement guidelines and equivalent local rules. We may ask you to change or remove any promotional material, and you agree to do so promptly.

9. Fraud and withheld commissions

We may withhold, delay, or cancel commissions we reasonably believe to be fraudulent, artificially generated, or in breach of these terms, and may close the related customer accounts. Where a breach is disputed, we will explain the reason on request, but the decision on payment rests with us.

10. Termination

Either party may end this agreement at any time and for any reason. Commissions already approved and not resulting from a breach of these terms will be paid on the normal schedule. Pending, unapproved commissions may be cancelled where participation is ended for a breach. On termination you must stop using your links and our brand assets.

11. Changes to the Program

We may change commission rates, the attribution window, payout terms, or these terms. Material changes are announced by email to active Partners at least 30 days before they take effect, and apply to referrals generated after that date. Continued participation after a change means you accept it.

12. Relationship and liability

Nothing here creates an employment, agency, partnership, or joint venture relationship. You may not enter into obligations on our behalf. Our total liability under this agreement is limited to the commissions payable to you in the twelve months before the claim.

13. Governing law

This agreement is governed by the laws of Estonia, and disputes are subject to the exclusive jurisdiction of the Estonian courts.
